These Terms & Conditions (“Terms”) govern your use of the Talk2Me platform (talk2me.bio), operated by Logique Labs, Inc., a Delaware corporation (“Talk2Me,” “we,” “our,” or “us”). By accessing or using Talk2Me, you agree to these Terms. If you do not agree, you may not use our services.

1. Introduction / Agreement to Terms

Talk2Me is a technology platform that enables content creators (“Creators”) to connect with their audience (“Buyers”) through paid Q&A interactions. Talk2Me provides the software, tools, and payment facilitation infrastructure but does not buy, sell, or deliver Creator content. All transactions occur directly between Buyers and Creators.

By creating an account or using Talk2Me, you agree to be legally bound by these Terms. These Terms apply to all users of the platform, including Creators and Buyers. If you use Talk2Me on behalf of a company or organization, you represent that you are authorized to bind them to these Terms.

2. Definitions

“Platform” means the Talk2Me website (talk2me.bio) and related services.
“Creator” means a user who creates a profile and answers paid questions. Creators are the merchants of record for transactions with Buyers.
“Buyer” means a user who pays to ask a question to a Creator.
“User” means any person using the Platform, including both Creators and Buyers.
“Application Fee” means the fee Talk2Me collects from each transaction as described in Section 5.
“Stripe” means Stripe, Inc., our third-party payments provider used to facilitate payments between Buyers and Creators via Stripe Connect.
“Answer” means a Creator’s response (text or video) delivered via the Platform.

3. Eligibility / User Accounts

You must be at least 18 years old to use the Platform.
You agree to provide accurate information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
We may suspend or terminate your account if you violate these Terms.

4. Description of Services

Talk2Me provides a marketplace where Buyers can pay Creators to answer questions. Talk2Me facilitates payments via Stripe Connect but does not act as a merchant of record or payment intermediary. Each transaction is between the Buyer and the Creator directly.

Creators receive a unique link to share with their audience.
Buyers may submit and pay for a question through that link.
Creators have 72 hours to respond.
If the Creator responds in time, the answer is delivered to the Buyer and Stripe transfers funds to the Creator (minus applicable fees).
If the Creator does not respond within 72 hours, the question is canceled and Stripe automatically refunds the Buyer on behalf of the Creator.

Talk2Me never holds Buyer funds. Stripe collects payment from the Buyer and transfers the appropriate amounts to the Creator and Talk2Me (for fees) in accordance with the Stripe Connect framework.

5. Fees, Payments, and Payouts

Buyers pay the amount set by the Creator at the time of asking a question. The transaction occurs directly between Buyer and Creator.
Creators may choose between:
- Free Plan: No monthly fee; Talk2Me automatically collects a 6% Application Fee from each transaction through Stripe Connect.
- Pro Plan: $19 USD per month; no Application Fee on transactions.
All payments and payouts are processed by Stripe. Talk2Me does not receive or hold Buyer funds.
Creators must connect a valid Stripe account to receive payouts. Stripe may collect KYC (Know Your Customer) information directly from Creators as required by law.
Chargebacks / Negative Balances. If a chargeback or refund occurs, Stripe will debit the Creator’s connected account accordingly. Talk2Me may recover any unpaid platform fees through Stripe or by other lawful means.
Taxes. Creators are responsible for any taxes on their earnings. Talk2Me may collect and remit taxes on its platform fees where required.

6. Refunds and Cancellations

If a Creator does not respond within 72 hours, the Buyer is refunded automatically by Stripe on behalf of the Creator.
Once a Creator answers a question, the service is considered delivered and no refunds are available.
Refunds are processed back to the Buyer’s original payment method by Stripe.
Talk2Me does not issue refunds directly but may facilitate the process through Stripe Connect.
EU/UK Withdrawal. By requesting performance during the 14-day period and receiving the Answer, EU/UK consumers acknowledge and agree that the statutory right of withdrawal for digital content/services is lost once the Answer is delivered. We capture this consent at checkout.

7. Content Ownership and Licenses

Creators retain ownership of the content of their answers.
Buyers receive a limited, personal, non-transferable license to view the Creator’s answer for personal use only.
Users may not copy, distribute, resell, or publicly display Creator content without permission.
By using the Platform, you grant Talk2Me a limited license to host, display, and deliver your content for the purpose of operating the Platform.
Unless a Creator explicitly marks an Answer as private (if available), Answers may be publicly viewable on the Platform; do not include confidential or sensitive information in questions or Answers.
You grant Talk2Me a limited license to use your name, image, and likeness to promote your Creator profile and the Platform.

8. Prohibited Conduct

You may not use the Platform to:

Post or request adult content, illegal content, or content that promotes violence or discrimination.
Harass, threaten, or abuse other users.
Impersonate another person or misrepresent your identity.
Attempt to interfere with the security or functionality of the Platform.
Circumvent payment systems or fees.

Violation may result in suspension or termination of your account.

9. Platform Rights

We reserve the right to monitor activity on the Platform.
We may suspend or terminate a Creator account if we determine they are providing extremely low-effort answers, generating a high rate of unhappy customers, or otherwise violating these Terms.
We may modify or discontinue any part of the Platform at any time.
We may remove content or limit features to protect users, comply with law, or manage risk.

10. Liability and Disclaimers

Talk2Me acts only as a technology platform and facilitator of payments via Stripe. We are not a party to the contract between Buyers and Creators.
Talk2Me is not responsible for the content of Creator answers and does not guarantee their quality, accuracy, or usefulness.
To the maximum extent permitted by law, Talk2Me is not liable for any damages arising from use of the Platform, except where required by law.
Our total liability to any user will not exceed the greater of: (a) the fees paid to us by that user in the 6 months preceding the claim, or (b) $100.
The Platform and all content are provided “as is,” without warranties of any kind, to the maximum extent permitted by law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.
Any disputes will be resolved through binding arbitration in Delaware, except that either party may bring a claim in small claims court.
Users outside the U.S. agree that Delaware law will apply to their use of the Platform.
Arbitration Rules; Forum. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect; unless the arbitrator requires otherwise, the hearing may be conducted by video conference.
Class Action Waiver; Severability. Claims must be brought individually and not on a class, collective, or representative basis. If the class waiver is found unenforceable, the entire arbitration agreement will be unenforceable.
30-Day Opt-Out. You may opt out of arbitration by mailing written notice to our legal address within 30 days of account creation.

12. Amendments and Contact Information

We may update these Terms from time to time. If we make material changes, we will notify users by posting the updated Terms on the Platform.
Continued use of the Platform after changes means you accept the updated Terms.

13. Copyright Infringement (DMCA) – Notice, Counter-Notice, Repeat Infringers

If you believe content on the Platform infringes your copyright, send a notice to our Designated Agent: Copyright Agent, Logique Labs, Inc. (d/b/a Talk2Me), 1111B S Governors Ave STE 39430, Dover, DE 19904; email: contact@talk2me.bio. Your notice must comply with 17 U.S.C. § 512(c)(3). We maintain and enforce a repeat-infringer policy and will expeditiously remove or disable access to material upon valid notice. We honor counter-notices under § 512(g). We will register our DMCA agent with the U.S. Copyright Office.

14. Third-Party Services (including Stripe)

Payments are processed by Stripe directly between Buyers and Creators. Talk2Me uses Stripe Connect to enable these direct transactions. By using Talk2Me, you also agree to be bound by the Stripe Connected Account Agreement and the Stripe Services Agreement. Talk2Me is not responsible for third-party services and disclaims liability for their acts or omissions.

15. Compliance; Sanctions and Export

You may not use the Platform if you are located in, or are a resident of, a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. government restricted list. You will comply with applicable export control and sanctions laws.

16. Indemnity

You will indemnify and hold harmless Talk2Me and its affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the Platform, or your breach of these Terms.
